California Software - Allotment Of Equity Shares

California Software Company Ltd has informed that the Board of the Company has approved the allotment of 1,25,000 equity shares of Rs 10/- each at premium of Rs 80/- per share on preferential basis to Andorra Services Ltd, Hong Kong (Persons Acting in Concert-PAC), upon automatic conversion falling due on or before March 31, 2007 of the 1st tranche of 11,25,000 Zero Percent FCDs (out of the 94,50,000 FCDs issued by the Board on October 30, 2006 vide approval received at the EGM held on October 16, 2006). The shares so allotted rank pari-passu with the existing equity shares of the Company in all respects and will be locked in for period as applicable per listing approvals to be applied for and received.Upon this allotment the Total issued share capital of the Company stands increased to 9046406 shares of Face value Rs 10/- each. The shareholding of Andorra Services Ltd (PAC) post this allotment is 125000 shares - 1.38% (Nil holdings and zero percent prior to this allotment).
