Jain Irrigation Systems Ltd has informed that the shareholders at the Extra Ordinary General Meeting (EGM) of the Company held on March 26, 2009, inter alia, have approved the following:
1. Issue of upto 20,00,000 Equity Shares of Rs 10/- each on preferential basis to International Finance Corporation (IFC) at a price of Rs 360.40.
2. Mortgage of immovable properties of the Company for consideration in terms of Section 293(1)(a) of the Companies Act, 1956 in favour of various lenders.
3. Amendment in ESOP 2005 for consideration pursuant to the provisions of the SEBI (Employee Stock Option Scheme and Employee Stock Purchase Scheme) Guidelines, 1999, the Companies Act, 1956.
