Adlabs Films - Allotment Of Equity Shares On Conversion Of FCCBs

Adlabs Films Ltd has informed that the Committee of the Board of Directors at its meeting held on January 22, 2008 has allotted 11,64,734 equity shares of Face Value Rs 5/- each for cash at a price of Rs 543.42 (including a premium of Rs 538.42) per share pursuant to the conversion notices received in respect of conversion of Zero Coupon Foreign Currency Convertible Bonds aggregating 1,16,65,000 Euros (or Rs 63,29,42,900) in value.

Pursuant to the allotment the total paid up share capital of the Company shall be Rs 22,94,07,710/- divided into 4,58,81,542 equity shares of Rs 5 each fully paid up.

Further pursuant to the allotment the Networth of the Company shall be Rs 641.56 crores.

The outstanding amount of Zero Coupon Foreign Currency Convertible Bonds is now 2,31,00,000 Euros in value.

Educomp Solutions Ltd has informed that in accordance with the Offering Circular dated on July 20, 2007 of USD 80 million Zero Coupon Foreign Currency Convertible Bond (FCCBs) due 2012 issue, the Company has received conversion notice in respect of 1000 bonds aggregating to USD 1 million from One of the bond holder. Accordingly the Board of Directors by passing the resolution by circulation on January 21, 2008 has allotted 13,807 Equity Shares of the Company to the respective Bondholder who has exercised his conversion option.Further, after allotment of 13,807 shares, paid up Share Capital has increased from Rs 17,23,27,570/- consisting of 1,72,32,757 equity shares of Rs 10/- each to Rs 17,24,65,640/- consisting of 1,72,46,564 equity shares of Rs 10/- each.
