Genesys International : Allotment Of Equity Shares - July 26 , 2008

Genesys International Corporation Ltd has informed that the Board of Directors of the Company at its meeting held on July 25, 2008, inter alia, has approved the allotment of 4,00,000 Equity Shares of Rs 10/- each at a premium of Rs 9/- per Equity Share to Mr. Ravi Kothari, an Individual Investor on exercise of his option of conversion of 4,00,000 Warrants allotted to him on preferential basis in the month of January 2007.

Post allotment, the Paid up Equity Share Capital of the Company comprises of 1,49,23,756 Equity Shares of Rs 10/- each aggregating to Rs 14.92 crore.

Genesys International : Allotment of equity shares - June 30, 2008

Genesys International Corporation Ltd has informed that the Board of Directors of the Company at its meeting held on June 28, 2008, has approved the allotment of 29,55,000 Equity Shares of Rs 10/- each at a premium of Rs 9/- per Equity Share to Mr. Sohel Malik, Promoter and Executive Director of the Company.Mr. Sohel Malik was allotted 35,30,000 Warrants on preferential basis in the month ofJanuary 2007, out of which, 5,75,000 Warrants were converted into 5,75,000 Equity Shares in the month of March 2007.

The aforesaid allotment of 29,55,000 Equity Shares arises on conversion of outstanding 29,55,000 Warrants.

Post allotment, the Paid up Equity Share Capital of the Company comprises of 1,45,23,756 Equity Shares of Rs 10/- each aggregating to Rs 14,52,37,560/-.
