UTV Software Allots Equity Shares - Aug 08 , 2008

UTV Software Communications has announced that pursuant to receipt by the company of all approvals, the company has exercised its right to convert its debt funding in UTV Global Broadcasting into equity shares of UGBL and UGBL has allotted 15,00,000 equity shares of Rs 10 each to the company constituting 75% of the paid up share capital of UGBL for a aggregate consideration of Rs 240 crore, pursuant to issue of shares by UGBL to the company, UGBL has become the subsidiary of the company.

Simultaneously with the issue of shares by UGBL to the company, UGBL allotted 3,00,000 equity shares to The Walt Disney Company (Southeast Asia) for an aggregate consideration of Rs 118.26 crore and the shareholding of the Disney in UGBL will be 15% of the paid up share capital of UGBL.

UGBL is the parent Company for its two wholly owned subsidiaries, Genx Entertainment and UTV Entertainment Television. Genx has already launched successfully two youth channels through the Bindass brand whilst UETL has launched the world movies channel and UTV movies channel.

The company made this announcement during the trading hours today, 08 August 2008.

UTV Software - Allotment Of Equity Shares

UTV Software Communications Ltd has informed that pursuant to the authority granted by the Board of Directors to the Shareholders Investor / Grievance Committee at its meeting held on March 04, 2008 have allotted 14,29,860 equity shares of Rs 10/- each at a issue price of Rs 192.50 per share upon conversion of 14,29,860 warrants and out of the aforesaid conversion Mr. Rohinton Screwvala has been allotted 6,79,860 equity shares upon conversion of 6,79,860 warrants.

The said allotment has been made pursuant to the authority granted by the members at their Annual General meeting held on August 24, 2006.

Pursuant to the aforesaid conversion the total paid equity share capital of the Company has increased and now consist of 2,48,42,968 equity shares of Rs 10/- each aggregating to Rs 24,84,29,680/-

UTV Software Communications Ltd has informed that pursuant to the authority granted by the Board of Directors to the Shareholders Investor / Grievance Committee at its meeting held on February 20, 2008 have allotted 5,19,500 equity shares of Rs 10/- each at a issue price of Rs 192.50 per share upon conversion of 5,19,500 warrants to Mr. Rohinton Screwvala pursuant to the approval granted by the members at their Annual General Meeting held on August 24, 2006.
